Terms & Conditions

Last Updated: August 9, 2026

These Terms of Service (“Terms”) govern access to and use of Relevan’s websites, APIs, software, search infrastructure, and related services (collectively, the “Service”).

The Service is provided by YASS Inc., doing business as Relevan (“Relevan,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and references to “Customer” or “you” include that organization.

If you do not agree to these Terms, you may not use the Service.

1. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

You are responsible for maintaining the security of your account credentials and for activity occurring through your account. You must provide accurate account information and promptly notify Relevan if you become aware of unauthorized access to your account.

Accounts may be used by individuals or on behalf of businesses and other organizations.

2. The Service

Relevan provides search and information-retrieval infrastructure designed to ingest, index, search, analyze, and improve retrieval over data supplied by customers.

The Service may include APIs, document ingestion, indexing, search, ranking, query analysis, relevance optimization, embeddings, synonym generation, query expansion, machine-learning or artificial-intelligence functionality, and related capabilities.

Relevan is currently offered in beta. The Service may change substantially as we develop it, and features may be added, modified, suspended, or removed.

Unless Relevan expressly agrees otherwise in writing, we do not guarantee any particular level of availability, uptime, performance, durability, or functionality.

3. Customer Data

“Customer Data” means information submitted to, stored in, transmitted through, or generated through a Customer’s use of the Service, including documents, document mappings and metadata, search queries, filters, search results, relevance feedback, and other information supplied by or on behalf of Customer.

As between Relevan and Customer, Customer retains its rights in Customer Data.

Customer grants Relevan a limited, non-exclusive right to host, copy, transmit, index, transform, analyze, and otherwise process Customer Data as reasonably necessary to provide, secure, maintain, support, and improve the Service for that Customer.

Customer represents that it has all rights and permissions necessary to provide Customer Data to Relevan and to authorize its processing under these Terms.

4. Derived Customer Data

The Service may generate information derived from Customer Data, including embeddings, learned synonyms and synonym graphs, query-expansion structures, ranking information, relevance signals, indexes, aggregate data structures, and similar artifacts (“Derived Customer Data”).

Derived Customer Data associated with a particular Customer will be used to provide and improve that Customer’s Service and will not be used to improve another customer’s search results through the transfer of that Customer’s documents, queries, search results, or customer-specific derived relevance structures.

Nothing in these Terms transfers ownership of Relevan’s underlying software, algorithms, search techniques, models, architectures, methodologies, or general know-how to Customer.

Relevan may use aggregated or de-identified operational and usage information that does not identify Customer or disclose Customer content to operate, analyze, secure, and improve the Service.

5. Search and Relevance Data

To provide and improve search quality for a Customer, Relevan may retain information about searches performed through the Service.

This information may include raw query text, filters, result sets, result ordering, relevance scores, identifiers, model- or user-provided relevance feedback, and information about which results were considered useful.

Relevan may pseudonymize identifiers associated with this information, including by hashing identifiers, while retaining the ability to correlate related searches or sessions.

Search and result information is generally retained for up to twelve (12) months unless a different retention period is agreed upon or applicable law requires otherwise.

Customer-specific search information and learned relevance information will remain isolated from other customers as described in these Terms.

6. Artificial Intelligence and Third-Party Processing

Relevan may use machine-learning or artificial-intelligence systems to provide or improve portions of the Service, including evaluating search quality, analyzing poorly performing searches, generating embeddings, developing query expansions, and producing other relevance-related information.

These systems may be operated by Relevan or by third-party service providers acting on Relevan’s behalf.

Where reasonably appropriate, Relevan will configure such services to protect Customer Data and limit its use to providing the relevant service.

Relevan does not sell Customer Data or provide Customer Data to third parties for the purpose of advertising to Customer or its users.

7. Infrastructure and Subprocessors

Relevan uses third-party service providers and subprocessors to operate the Service, including providers of cloud infrastructure, analytics, artificial intelligence, communications, billing, and other supporting services.

Relevan’s production infrastructure is currently hosted in the United States. Customer acknowledges that Customer Data may therefore be stored and processed in the United States.

Relevan may change or add subprocessors as the Service evolves.

8. Security

Relevan uses administrative, organizational, and technical measures designed to protect Customer Data, including measures intended to restrict access and separate customer information.

However, no system can guarantee absolute security.

Unless expressly agreed in writing, Relevan does not represent that the Service complies with any particular certification or regulatory framework, including SOC 2, HIPAA, or any similar certification or standard.

Customers are responsible for evaluating whether the Service is appropriate for the sensitivity and regulatory requirements of the data they submit.

9. Data Durability and Backups

Relevan is a search and information-retrieval service and is not intended to serve as Customer’s system of record, primary datastore, or sole backup of Customer Data.

Customer is responsible for maintaining authoritative copies and appropriate backups of Customer Data.

Relevan may use replication, backups, redundant systems, migrations, and other techniques intended to improve data durability. These measures do not constitute a guarantee against data loss.

Customer should assume that information stored exclusively in Relevan may be lost and should maintain appropriate source copies.

10. Search Results and Accuracy

Search, ranking, relevance, machine-learning, and artificial-intelligence systems are inherently imperfect.

Relevan does not guarantee that search results will be accurate, complete, relevant, current, or suitable for any particular purpose.

Customer is responsible for evaluating information retrieved through the Service and for decisions made based upon that information.

11. Acceptable Use

You may not use the Service:

  • in violation of applicable law or regulation;
  • to store, transmit, facilitate, or distribute unlawful content;
  • to exploit, abuse, or facilitate the exploitation or abuse of children;
  • to distribute malware, malicious code, or other harmful software;
  • to infringe intellectual property, privacy, confidentiality, or other rights of another person;
  • to gain or attempt to gain unauthorized access to systems, accounts, networks, or data;
  • to interfere with, disrupt, damage, or circumvent the security or operation of the Service;
  • to circumvent usage limits or other technical restrictions;
  • to use the Service in a manner that materially interferes with its operation for other customers; or
  • for purposes materially inconsistent with the intended operation of the Service.

Relevan may investigate suspected violations and may restrict, suspend, or terminate access when reasonably necessary to protect the Service, Relevan, its customers, or third parties or to comply with law.

12. Intellectual Property

Relevan and its licensors retain all rights in the Service, including its software, APIs, algorithms, ranking and retrieval systems, models, interfaces, documentation, designs, trademarks, and related technology.

Except for the limited rights necessary to use the Service under these Terms, no rights in Relevan’s intellectual property are transferred to Customer.

If Customer voluntarily provides suggestions, ideas, or feedback regarding the Service, Customer grants Relevan the right to use that feedback without restriction or compensation, provided Relevan’s use does not disclose Customer’s confidential information.

13. Free and Paid Services

Relevan may offer free, beta, trial, and paid versions of the Service.

Free and beta tiers may have limitations relating to storage, query volume, performance, features, support, or other resources and may be modified or discontinued.

Terms applicable to paid subscriptions, usage charges, billing, renewals, refunds, and other commercial terms may be provided when paid plans become available. In the event of a conflict, an executed order form or other written commercial agreement between Customer and Relevan will control with respect to the matters it addresses.

14. Suspension and Termination

Customer may stop using the Service at any time.

Relevan may suspend or terminate access if Customer materially violates these Terms, creates a security or legal risk, fails to pay amounts due, or uses the Service in a manner that threatens Relevan or other customers.

Where reasonably practicable, Relevan will attempt to provide notice before terminating a paid Customer for a remediable violation.

15. Data Following Termination or Deletion Requests

Relevan may delete Customer Data following account termination.

Relevan generally seeks to complete verified Customer Data deletion requests within thirty (30) days. Some information may remain for a longer period where reasonably necessary for backups, security, fraud prevention, legal compliance, dispute resolution, accounting, or other legitimate purposes.

Billing and transaction records may be retained as necessary to satisfy legal, tax, accounting, and business-record requirements.

Deletion from active systems may not immediately remove information from disaster-recovery or backup systems. Information remaining in such systems will remain subject to applicable protections until overwritten or deleted in the ordinary course.

16. Beta Service; Disclaimer of Warranties

THE SERVICE IS CURRENTLY IN BETA AND IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELEVAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND DATA DURABILITY.

RELEVAN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DATA LOSS.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELEVAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OR CORRUPTION OF DATA ARISING FROM OR RELATING TO THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RELEVAN’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT CUSTOMER PAID RELEVAN DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply.

18. Indemnification

To the extent permitted by law, Customer will defend, indemnify, and hold harmless Relevan and its officers, directors, employees, and agents from third-party claims arising from Customer Data, Customer’s unlawful use of the Service, or Customer’s material violation of these Terms or the rights of another person.

19. Changes to These Terms

Relevan may update these Terms as the Service evolves.

If we make material changes, we will provide reasonable notice through the Service, by email, or by another appropriate method.

The updated Terms will state their effective date. Continued use of the Service after updated Terms become effective constitutes acceptance where permitted by law.

20. Governing Law and Disputes

These Terms are governed by the laws of Delaware, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in the City of Chesapeake, Virginia, and the parties consent to jurisdiction and venue in those courts.

21. General Terms

Neither party may assign these Terms except as permitted by law, provided Relevan may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, or sale of substantially all relevant assets.

If any provision of these Terms is unenforceable, the remaining provisions remain effective.

Failure to enforce a provision is not a waiver of the right to enforce it later.

These Terms, together with any applicable order form or written agreement, constitute the agreement between the parties regarding the Service and supersede prior agreements regarding the same subject matter.
